Welcome to WORTHEK. These Terms of Service ("Terms") govern your access to and use of the WORTHEK mobile application, website, and related services (collectively, the "Service"), provided by WORTHEK ("Company," "we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms.
Please read these Terms carefully before using the Service. If you do not agree to these Terms, you must not access or use the Service.

1. ACCEPTANCE OF TERMS
1.1 Agreement. By accessing or using the Service, you affirm that you are at least 16 years of age and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
1.2 Changes to Terms. We may modify these Terms at any time by posting updated Terms within the Service. Changes are effective upon posting unless otherwise stated. Your continued use of the Service after changes constitutes acceptance of the modified Terms. We will make reasonable efforts to notify you of material changes via in-app notification or email.
1.3 Additional Terms. Certain features of the Service may be subject to additional terms and conditions, which are incorporated by reference into these Terms.

2. DESCRIPTION OF THE SERVICE
2.1 WORTHEK is an AI-powered inventory management platform that enables users to catalog, track, organize, and manage their personal and business possessions through intelligent object recognition, image analysis, and smart categorization.
2.2 Core Features include:
• AI-powered item recognition and cataloging via camera
• Smart scanning and batch item detection
• Inventory organization with custom categories and locations
• Item sharing and collaboration features
• Warranty and purchase tracking
• Search and filtering capabilities
• Cloud-based data storage and synchronization
• Credit-based AI feature access
2.3 The Service utilizes artificial intelligence and machine learning technologies for item recognition and analysis. AI-generated results are provided as suggestions and may not always be accurate. You are responsible for reviewing and confirming all AI-generated information.

3. ACCOUNT REGISTRATION AND SECURITY
3.1 Account Creation. To use certain features, you must create an account with accurate, complete, and current information. You agree to update your information as necessary to maintain its accuracy.
3.2 Account Security. You are responsible for maintaining the confidentiality of your account credentials, including your password and any two-factor authentication methods. You agree to notify us immediately of any unauthorized use of your account.
3.3 Account Responsibility. You are solely responsible for all activities that occur under your account. We are not liable for any loss or damage arising from your failure to secure your credentials.
3.4 Account Termination. We reserve the right to suspend or terminate your account at any time for violation of these Terms, with or without notice. You may delete your account at any time through the Service settings.

4. USER CONTENT AND DATA
4.1 Your Content. You retain ownership of all content you submit, upload, or make available through the Service, including but not limited to photographs, item descriptions, notes, and other materials ("User Content").
4.2 License Grant. By submitting User Content, you grant WORTHEK a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, process, and display your User Content solely for the purpose of providing, maintaining, and improving the Service. This license ends when you delete your User Content or account, except where your content has been shared with others who have not deleted it.
4.3 AI Processing. You acknowledge and consent that User Content, including images, may be processed by artificial intelligence systems (including third-party AI services) for the purpose of providing item recognition, categorization, and analysis features. We do not use your User Content to train general-purpose AI models without your explicit consent.
4.4 Content Standards. You agree not to upload or share content that is illegal, harmful, threatening, abusive, defamatory, obscene, or otherwise objectionable. We reserve the right to remove any User Content that violates these Terms.
4.5 Data Portability. You have the right to request an export of your User Content at any time, subject to our data export procedures.

5. CREDITS AND SUBSCRIPTION SYSTEM
5.1 Credit System. The Service operates on a credit-based system for AI-powered features. Credits are consumed when you use features such as AI item recognition, smart scanning, and batch analysis.
5.2 Subscription Plans. We offer various subscription tiers that provide monthly credit allocations and access to features. Plan details, pricing, and credit allocations are displayed within the Service and may change with notice.
5.3 Credit Purchases. Additional credits may be purchased through the Service. All credit purchases are final and non-refundable except as required by applicable law.
5.4 Credit Expiration. Credits may expire according to your subscription plan terms. Unused plan credits may or may not roll over to the next billing period depending on your plan.
5.5 Pricing Changes. We reserve the right to change pricing for subscriptions and credits with at least 30 days' notice before the changes take effect on your next billing cycle.

6. INTELLECTUAL PROPERTY
6.1 Our Property. The Service, including its original content, features, functionality, design, and underlying technology, is owned by WORTHEK and protected by copyright, trademark, patent, trade secret, and other intellectual property laws.
6.2 Trademarks. "WORTHEK" and related logos, product names, and service names are trademarks of the Company. You may not use these marks without our prior written consent.
6.3 Feedback. If you provide suggestions, ideas, or feedback about the Service, you grant us the unrestricted right to use such feedback without compensation or attribution.

7. ACCEPTABLE USE
7.1 You agree not to:
• Use the Service for any illegal or unauthorized purpose
• Interfere with or disrupt the Service or its servers
• Attempt to gain unauthorized access to the Service or its systems
• Use automated systems (bots, scrapers) to access the Service
• Reverse engineer, decompile, or disassemble any part of the Service
• Circumvent any usage limits or access restrictions
• Share your account credentials with third parties
• Use the Service to store or track items that are illegal to possess
• Misuse the AI recognition system for purposes other than inventory management
• Upload malicious content including viruses or harmful code
7.2 We reserve the right to investigate and take appropriate action against anyone who violates these restrictions, including removing content, suspending accounts, and reporting to law enforcement.

8. SHARING AND COLLABORATION
8.1 Item Sharing. The Service allows you to share individual items or collections with other users. When you share items, you grant the recipient the ability to view (and, if permitted, edit) those items according to the permission level you set.
8.2 Shared Content Responsibility. You are responsible for what you share and with whom. Shared content remains subject to these Terms, and both the sharer and recipient must comply with applicable laws.
8.3 Revocation. You may revoke sharing access at any time. Previously shared data that has been copied or downloaded by the recipient cannot be recovered by us.

9. DISCLAIMERS AND LIMITATION OF LIABILITY
9.1 "AS IS" Basis. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.
9.2 AI Accuracy. We do not warrant that AI-powered features will be accurate, complete, or error-free. AI-generated item identifications, valuations, categorizations, and descriptions are provided as suggestions only. You should verify all AI-generated information independently before relying on it for insurance, legal, or financial purposes.
9.3 Service Availability. We do not guarantee that the Service will be uninterrupted, secure, or error-free. We may modify, suspend, or discontinue any part of the Service at any time.
9.4 Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WORTHEK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF PROFITS, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.
9.5 Maximum Liability. OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

10. INDEMNIFICATION
10.1 You agree to indemnify, defend, and hold harmless WORTHEK, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.

11. DISPUTE RESOLUTION
11.1 Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.
11.2 Arbitration. Any dispute arising from or relating to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, except that either party may seek injunctive relief in any court of competent jurisdiction.
11.3 Class Action Waiver. YOU AND WORTHEK AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION.
11.4 Small Claims. Notwithstanding the above, you may bring an individual action in small claims court if your claim qualifies.

12. TERMINATION
12.1 By You. You may terminate your account at any time by deleting it through the Service settings. Upon termination, your license to use the Service ceases immediately.
12.2 By Us. We may suspend or terminate your access to the Service, in whole or in part, at any time and for any reason, including breach of these Terms.
12.3 Effect of Termination. Upon termination: (a) your license to use the Service terminates; (b) you remain liable for any amounts owed; (c) we may delete your User Content after a reasonable retention period; (d) provisions that by their nature should survive termination shall survive.
12.4 Data Deletion. Following account termination, we will delete your personal data within 30 days, except as required by law or for legitimate business purposes.

13. GENERAL PROVISIONS
13.1 Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and WORTHEK regarding the Service.
13.2 Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
13.3 Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
13.4 Assignment. You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign our rights and obligations without restriction.
13.5 Force Majeure. We shall not be liable for any failure or delay in performing our obligations due to causes beyond our reasonable control, including natural disasters, acts of war, terrorism, pandemics, government actions, or infrastructure failures.
